By accessing mr8585.com (“Site”) or purchasing/using our services, you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Site or Services.

1) Who we are

MR8585 provides:

  • ✔︎ Web design & development
  • ✔︎ SEO, Google Rankings & Local SEO (incl. Google Business Profile)
  • ✔︎ World-class creative & graphics
  • ✔︎ Engineered high-speed VPS plans (PRO, APEX/ULTRA, QUANTUM)

“Client”, “you” or “your” means the person or entity using our Services.

2) Key definitions

  • Deliverables: Designs, code, content, graphics, or assets produced for Client.
  • Project: A scoped engagement (e.g., website build, SEO campaign).
  • Subscription: Recurring services (e.g., monthly SEO or hosting).
  • Visitors program: Any lawful, real-user traffic included with a plan.

3) Using our Site

  • ✔︎ You must be 18+ and legally able to contract.
  • ✔︎ Do not misuse the Site (no scraping, attacks, illegal content, or IP infringement).
  • ✔︎ We may suspend or limit access for security or maintenance.

4) Ordering, payments & billing

  • Prices are shown in the Site or proposal and may change prospectively.
  • Work begins after payment and required materials are received (content, brand assets, access).
  • Subscriptions renew automatically until canceled (see §16).
  • Merchant of Record (optional): If we use Paddle (or similar) to process payments, they collect and remit sales/VAT taxes where required. In such cases, receipts come from that provider, and their buyer terms apply for the transaction layer.
  • You authorize recurring charges for subscriptions. Late/unpaid invoices may pause service.

5) Refunds

  • One-time project deposits are non-refundable once work starts.
  • Subscriptions are prepaid and non-refundable for the current term.
  • If a mandatory consumer right applies in your jurisdiction, that right remains unaffected.

6) Intellectual property & licensing

  • Web/Graphics projects: Upon full payment, you receive a non-exclusive license (or ownership if expressly stated in your proposal) to the final Deliverables for your business use.
  • Our pre-existing IP, frameworks, templates, and know-how remain ours.
  • Third-party fonts, stock, plugins, or libraries are under their own licenses.
  • We may showcase non-confidential work in our portfolio unless you opt out in writing.

7) Your responsibilities

  • ✔︎ Provide timely access (hosting, CMS, DNS, analytics, GBP, etc.).
  • ✔︎ Warrant that any materials you supply (text, images, data) do not infringe rights.
  • ✔︎ Keep backups of your content.
  • ✔︎ Obtain required consents (cookies, privacy notices, user permissions).

8) SEO & rankings – important disclosures

  • We deliver best-practice, policy-compliant SEO.
  • Search rankings depend on many factors beyond our control (competition, algorithm updates, content quality, market behavior, reviews, geography, device, personalization, etc.).
  • Therefore:
    • ✔︎ No guarantee of #1 ranking or specific positions/timeframes.
    • ✔︎ Improvements are probabilistic, not assured.
    • ✔︎ We never use spam, link schemes, or policy-violating tactics.

9) Visitors/traffic programs (when included)

  • Only lawful, real-user traffic sources are used (no bots, fraud, or incentives that breach platform rules).
  • Traffic volumes are estimates and can vary by season, device, geo targeting, and ad inventory.
  • You must maintain compliant privacy/cookie notices and respect user consent.
  • This traffic does not guarantee sales, leads, or SEO rankings.

10) VPS hosting terms (PRO/APEX/QUANTUM)

Acceptable Use (AUP)

  • ☐ No spam, malware, phishing, DDoS, copyright infringement, crypto-mining abuse, or illegal content.
  • ☐ No resource abuse (excess CPU/RAM, abusive processes) or activities disrupting other customers or networks.
  • ☐ We may suspend to protect network integrity and law compliance.

Service levels & maintenance

  • We aim for high availability but do not guarantee 100% uptime.
  • Planned/emergency maintenance may occur.
  • Backups are Client’s responsibility unless a backup add-on is purchased.

Data & security

  • You are responsible for security of your applications, accounts, passwords, and data.
  • We implement reasonable safeguards but cannot warrant absolute security.

11) Changes & acceptance (projects)

  • Deliverables are provided for review. Unless otherwise agreed, one round of reasonable revisions is included.
  • Acceptance occurs on the earlier of:
    • ✔︎ Your written approval; or
    • ✔︎ 7 days after delivery with no material change request.

12) Third-party services

  • We may recommend or configure third-party tools (e.g., analytics, DNS, CDN, plugins, payment providers).
  • Such services are governed by their terms and fees; we are not liable for their availability or changes.

13) Disclaimers

  • Services are provided “as is” and “as available”.
  • We disclaim all warranties to the maximum extent permitted by law, including fitness for a particular purpose and non-infringement.

14) Limitation of liability

To the maximum extent permitted by law, MR8585 and its affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, or business interruption. Our aggregate liability for any claim will not exceed the amount you paid to us for the service giving rise to the claim in the 12 months preceding the event.

15) Indemnification

You agree to indemnify and hold MR8585 harmless from claims, damages, costs, and expenses (including reasonable legal fees) arising from your:

  • use of the Services;
  • breach of these Terms;
  • content or data you provide; or
  • violation of any law or third-party right.

16) Term, suspension & cancellation

  • You may cancel subscriptions at least 3 days before renewal via your account or by emailing support.
  • We may suspend or terminate for breach, non-payment, AUP violations, security risks, or illegal activity.
  • Upon termination, licenses granted to you may end if stated in your plan or agreement.

17) Privacy

Your use of the Site and Services is governed by our Privacy Policy. You must provide any required notices/consents to your users.

18) Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.

  • ✔︎ Venue: state or federal courts in San Francisco, CA.
  • ✔︎ Each party consents to such jurisdiction.
    (If you prefer arbitration, replace this clause with your arbitration terms.)

19) Changes to Terms

We may update these Terms from time to time. The latest version on this page applies. Material changes will be noted with a new “Effective date.” Continued use after changes constitutes acceptance.
